    Terms of Service

    Agreement to Terms

    By engaging Harry J Mora ('Consultant', 'we', 'us') for services, you ('Client', 'you') agree to be bound by these Terms of Service.

    Services Provided

    We provide the following services:

    • AI strategy, implementation, and systems architecture
    • Music tech infrastructure and publishing systems
    • Executive production and artist development
    • Technology consulting and team leadership

    Engagement Terms

    All engagements are subject to:

    • Scope of Work: Specific deliverables, timelines, and responsibilities will be defined in a separate Statement of Work (SOW) signed by both parties.
    • Timeline: Project timelines are estimates and may be adjusted based on scope changes, client availability, or unforeseen challenges.
    • Payment Terms: Payment terms, rates, and schedules will be specified in the agreement. Invoices are typically due within 15 days.

    Intellectual Property

    Work Product: Upon full payment, the Client retains ownership of all custom work product created specifically for the engagement.

    Pre-existing IP: The Consultant retains ownership of all pre-existing intellectual property, methodologies, and tools.

    Confidentiality

    Both parties agree to maintain the confidentiality of proprietary information disclosed during the engagement.

    Limitation of Liability

    To the maximum extent permitted by law, the Consultant shall not be liable for any indirect, incidental, special, or consequential damages.

    Total liability shall not exceed the total fees paid for the specific engagement.

    Indemnification

    The Client agrees to indemnify and hold harmless the Consultant from any claims arising from the Client's use of deliverables.

    Termination

    Either party may terminate with 14 days written notice. The Client shall pay for all work completed.

    Upon termination, the Client shall receive all completed deliverables for which payment has been made.

    Governing Law

    These Terms shall be governed by the laws of the State of Florida.
